1. Official Rules — General Framework

From time to time, EarnHive LLC ('Sponsor') may conduct sweepstakes, contests, giveaways, and promotional campaigns (collectively, 'Sweepstakes') for registered users of the EarnHive platform. These Official Rules serve as a general framework governing all Sweepstakes conducted by Sponsor, unless otherwise specified in Sweepstakes-specific rules.

Each Sweepstakes may have its own additional rules, entry methods, prize details, and eligibility restrictions, which will be posted on the Platform at the time the Sweepstakes is announced. In the event of a conflict between these general rules and Sweepstakes-specific rules, the Sweepstakes-specific rules shall control.

By entering any Sweepstakes, you agree to be bound by these Official Rules, the Sweepstakes-specific rules, the EarnHive Terms of Service, and the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes.

2. No Purchase Necessary

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

While some Sweepstakes entry methods may involve completing activities on the EarnHive platform (such as surveys or offers), no monetary purchase or payment is required to enter. Alternative methods of entry (AMOEs), such as free mail-in entries or free online entry forms, will be provided for each Sweepstakes where required by applicable law.

All entry methods, whether requiring activity completion or not, will have equal chances of winning, as determined by the random selection process described in Section 6.

3. Eligibility Requirements

Sweepstakes are open only to individuals who meet all of the following eligibility requirements:

Employees, officers, directors, agents, and representatives of EarnHive LLC, its parent companies, subsidiaries, affiliates, advertising and promotion agencies, and immediate family members (spouse, parents, siblings, children) and household members (whether related or not) of such individuals are not eligible to enter or win.

Void where prohibited by law. Sponsor reserves the right to verify eligibility and to disqualify any entrant who violates these Official Rules or provides false or misleading information.

• Be a legal resident of an eligible country (eligibility restrictions will be specified for each Sweepstakes)
• Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater
• Have a valid, active EarnHive account in good standing (not suspended, banned, or terminated)
• Comply with all applicable federal, state, provincial, and local laws and regulations
• Not be located in a jurisdiction where sweepstakes or promotional contests are prohibited by law

4. Entry Methods and Procedures

Entry methods for each Sweepstakes will be clearly stated in the Sweepstakes-specific rules and may include, but are not limited to:

Entries must be received by the deadline specified in the Sweepstakes announcement to be valid. Late, incomplete, fraudulent, or tampered entries will be disqualified. Sponsor is not responsible for lost, late, misdirected, damaged, incomplete, or illegible entries.

Limit one entry per person per entry method per day, unless otherwise specified in Sweepstakes-specific rules. Use of automated entry systems, scripts, bots, or other artificial means to enter is strictly prohibited and will result in disqualification and potential account termination.

By submitting an entry, you represent and warrant that your entry is your own original work, does not violate any third-party rights, and complies with all applicable laws and these Official Rules.

• Completing specified activities on the Platform (surveys, offers, earning milestones, etc.)
• Submitting an online entry form accessible from the Sweepstakes announcement page
• Sending a mail-in entry to the address specified in the Sweepstakes rules (if alternative entry is required)
• Social media engagement (following, liking, sharing, commenting on official EarnHive accounts)
• Referring new users to the Platform using your referral link (where applicable)

5. Entry Period and Duration

Each Sweepstakes will have a defined entry period with a start date/time and an end date/time, both specified in the Sweepstakes announcement. All times are in Eastern Time (ET) unless otherwise stated.

Entries received before the start date/time or after the end date/time will not be eligible. Sponsor's computer server clock is the official timekeeper for all Sweepstakes.

Sponsor reserves the right to extend, shorten, or modify the entry period for any Sweepstakes at its sole discretion, with or without notice, for any reason, including but not limited to technical difficulties, fraud, or force majeure events.

6. Winner Selection and Notification

Winners will be selected in a random drawing from among all eligible entries received during the entry period. The drawing will be conducted by Sponsor or its designated representative within approximately 7-14 days after the close of the entry period, unless otherwise specified.

The odds of winning depend on the number of eligible entries received. Potential winners will be notified via email sent to the email address associated with their EarnHive account and/or by direct message on the Platform within approximately 7 days after the drawing.

Potential winners must respond to the notification within the timeframe specified in the notification (typically 7 days) to claim their prize. If a potential winner does not respond within the required timeframe, cannot be reached, is ineligible, has violated these Official Rules, or declines the prize, the prize may be forfeited and an alternate winner may be selected.

Sponsor may require potential winners to complete and return an affidavit of eligibility, liability release, publicity release (where permitted by law), and/or tax forms (such as IRS Form W-9) before awarding the prize. Failure to return required documentation within the specified timeframe may result in prize forfeiture.

7. Prizes and Approximate Retail Value

Prize details, including descriptions, quantities, and approximate retail values (ARV), will be specified in each Sweepstakes announcement. Prizes may include cryptocurrency, EarnHive account credits, gift cards, physical merchandise, or other items of value.

Prizes are awarded 'as is' with no warranty or guarantee, express or implied. Prizes are non-transferable, non-assignable, and cannot be substituted or exchanged for cash, except at Sponsor's sole discretion or as required by law. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize is unavailable.

All costs and expenses associated with prize acceptance and use not specified as included in the prize description are the sole responsibility of the winner, including but not limited to taxes, shipping fees, travel expenses, and insurance.

Winners are solely responsible for all federal, state, provincial, and local taxes on prizes. For U.S. winners receiving prizes valued at $600 or more in a calendar year, Sponsor will issue IRS Form 1099-MISC and report prize value to the Internal Revenue Service as required by law.

Cryptocurrency prizes will be delivered to the winner's verified cryptocurrency wallet address provided by the winner. Sponsor is not responsible for fluctuations in cryptocurrency value, transaction fees, or errors in wallet addresses provided by winners.

8. General Conditions and Restrictions

By entering a Sweepstakes, you agree to comply with and be bound by these Official Rules and the decisions of Sponsor, which are final and binding.

Sponsor reserves the right to cancel, suspend, modify, or terminate any Sweepstakes, or disqualify any entrant, at any time for any reason, including but not limited to technical difficulties, fraud, tampering, unauthorized intervention, force majeure, or any other factor beyond Sponsor's reasonable control.

If a Sweepstakes is terminated before the scheduled end date, Sponsor may, at its discretion, conduct a random drawing from among all eligible entries received up to the time of termination, or refrain from awarding prizes.

Entries that are incomplete, fraudulent, generated by automated means, or otherwise not in compliance with these Official Rules will be disqualified. Sponsor is not responsible for any technical malfunctions, lost or unavailable network connections, or failed electronic transmissions that may limit an entrant's ability to participate.

By participating, you release and hold harmless Sponsor, its parent companies, subsidiaries, affiliates, advertising and promotion agencies, and their respective officers, directors, employees, and agents from any and all liability for any injury, loss, or damage of any kind arising from or in connection with the Sweepstakes or acceptance, possession, use, or misuse of any prize.

9. Publicity and Rights Granted

By accepting a prize, winners grant Sponsor and its designees the perpetual, worldwide, royalty-free right and license to use, publish, and display their name, likeness, voice, biographical information, entry materials, and statements about the Sweepstakes for advertising, marketing, and promotional purposes in any media now known or hereafter developed, without additional compensation or approval, except where prohibited by law.

If you reside in a jurisdiction that requires opt-in consent for publicity rights (such as California or Tennessee), you will be asked to provide separate consent at the time of prize claim. You are not required to grant publicity rights to receive a prize in such jurisdictions.

10. Limitations of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPONSOR, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INJURY, LOSS, DAMAGE, OR EXPENSE ARISING OUT OF PARTICIPATION IN ANY SWEEPSTAKES OR ACCEPTANCE, POSSESSION, USE, OR MISUSE OF ANY PRIZE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Without limiting the foregoing, Sponsor is not responsible for:

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

• Technical failures of any kind, including malfunctions of computer systems, servers, access providers, or telephone or network lines
• Unauthorized human intervention in any part of the entry process or the Sweepstakes
• Printing, typographical, or other errors in these Official Rules, in Sweepstakes materials, or in the announcement of prizes
• Lost, late, misdirected, damaged, incomplete, illegible, or postage-due entries or mail
• Errors in the administration of the Sweepstakes, the processing of entries, or the announcement of winners

11. Governing Law and Disputes

These Official Rules and any Sweepstakes conducted hereunder shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles.

Any controversy or claim arising out of or relating to these Official Rules or any Sweepstakes shall be resolved exclusively in the state or federal courts located in Monroe County, Pennsylvania. By entering, you consent to the personal jurisdiction of such courts and waive any objection to venue.

All disputes, claims, and causes of action arising out of or connected with any Sweepstakes shall be resolved individually, without resort to any form of class action. To the extent permitted by law, you waive any right to trial by jury.

Any and all claims must be brought within one (1) year after the date on which the cause of action arose, or such claim is forever barred.
